Separate fees, capital and the operating budget

A useful incorporation budget has three layers: non-recoverable setup costs; capital contributed to the company; and recurring first-year costs such as accounting, rent, software and chamber dues. Combining the three into one headline figure gives a misleading comparison.

The figures below use the Istanbul 2026 tariff framework. The registry assessment issued for the completed application is the amount that matters.

A one-person low-risk advisory activity may value a simpler sole proprietorship. A two-founder business with staff, major contracts and investment plans may rationally accept higher compliance cost for a limited-company structure. Compare after-tax owner cash, company cash retained and conversion/closure cost over three years.

No. Capital is company equity. Registry, notary and service fees are separate expenses.

TRY 50,000. Cash capital can generally be paid within 24 months following registration.

Does a sole proprietorship cost nothing to start?

It has no statutory minimum capital, but professional, licence, address, e-document and recurring compliance costs can still arise.

Is minimum capital part of the professional formation fee?
